1. Overview

Welcome to Remedy Fund ("Platform," "we," "us," or "our"). Remedy Fund is an online platform that enables verified researchers ("Creators" or "Researchers") to raise funds for medical research projects from contributors ("Backers" or "Contributors"). By accessing or using this Platform, you agree to be bound by these Terms of Service ("Terms").

Remedy Fund operates as a technology platform and marketplace facilitator. We are NOT a charitable organization, healthcare provider, financial advisor, or research institution. We facilitate connections between researchers and contributors but do not conduct, endorse, or guarantee any research.

2. Eligibility

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Funding Model

3.1 Direct Project Funding

Contributors can fund specific research projects created by verified researchers. All funding operates on an all-or-nothing basis: if a project does not reach its funding goal within the campaign period, all contributions are automatically refunded. A 6% platform fee is deducted from successfully funded projects.

3.2 Payment Processing and Milestone Accountability

Contributions are processed at the time of funding through Stripe Connect, and Remedy Fund does not hold or custody funds. If a campaign fails to reach its goal by the campaign end date, we initiate automatic refunds to contributors through Stripe. Milestones are used for accountability and progress reporting and do not represent escrow-based release schedules.

4. Fees and Refund Policy

Remedy Fund charges a 6% platform fee on all successfully funded projects. Contributors may also add an optional tip to support platform operations. Payment processing fees (charged by Stripe) are separate and non-refundable.

Automatic refunds are issued when a project fails to reach its funding goal. Refunds are processed within 5-10 business days. In cases of verified fraud or material misrepresentation, the platform may issue discretionary refunds.

5. User Responsibilities

Researchers must provide accurate information about their qualifications, research proposals, and institutional affiliations. Researchers agree to use funds solely for the stated research purposes, submit honest milestone updates, and comply with all applicable regulations including FDA requirements and IRB approvals.

Contributors acknowledge that contributions represent voluntary support for research projects with no expectation of financial return, equity, or ownership. Contributors understand that research outcomes are inherently uncertain and that funded projects may not achieve their stated goals. Contributions are not tax-deductible and do not constitute charitable donations.

6. Intellectual Property and Content

Platform IP: The Remedy Fund name, logo, design, and all software, text, images, and other content created by Remedy Fund are our exclusive property and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without prior written permission.

Your Content: By submitting content to the Platform (including project descriptions, images, updates, and comments), you grant Remedy Fund a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the Platform. You retain ownership of your content and may request its removal, subject to any ongoing contractual obligations (e.g., active funded projects).

Research IP: Remedy Fund does not claim any ownership of intellectual property arising from funded research. All research IP remains the property of the researcher and/or their affiliated institution.

7. Medical Compliance and Liability

Remedy Fund does not provide medical advice, diagnosis, or treatment. No doctor-patient relationship is created through use of this platform. Research projects listed on this platform are investigational and have not been evaluated by the FDA. Projects are not intended to diagnose, treat, cure, or prevent any disease.

Researchers are prohibited from making unsubstantiated health claims, offering unapproved drugs or treatments, or misleading contributors about the nature or likelihood of research outcomes.

8. Prohibited Uses

• Creating projects that promise investment returns or equity
• Offering securities or ownership interests of any kind
• Making unsubstantiated or misleading health claims
• Soliciting funds for unapproved drugs or treatments
• Misrepresenting researcher credentials or institutional affiliations
• Using the platform for money laundering or fraudulent purposes
• Interfering with the Platform's operation or security
• Harvesting user data or scraping content without permission
• Violating any applicable federal, state, or local law

9. Account Termination and Suspension

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that we determine in our sole discretion to be harmful to the Platform or its users. We will make reasonable efforts to notify you of any suspension or termination, except where doing so would compromise an ongoing investigation or legal proceeding.

You may close your account at any time by contacting us. Account closure does not affect any obligations arising from active funded projects or pending contributions. Upon termination, your right to use the Platform ceases immediately, but provisions of these Terms that by their nature should survive termination (including Sections 6, 10, 11, 12, 13, and 15) will remain in effect.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Remedy Fund does not warrant that the Platform will be uninterrupted, error-free, or secure, that any defects will be corrected, or that any research project will achieve its stated goals. We do not endorse, guarantee, or assume responsibility for any research project, researcher, or research outcome. Your use of the Platform and any reliance on content therein is at your sole risk.

11. Limitation of Liability

To the maximum extent permitted by law, Remedy Fund, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, use, goodwill, or other intangible losses. Our total aggregate liability for any claim shall not exceed the amount of fees you have paid to us in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Remedy Fund, its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you submit to the Platform, including any research project, description, update, or communication.

13. Dispute Resolution and Arbitration

Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of law principles.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform.

16. General Provisions

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Remedy Fund regarding your use of the Platform.

Assignment: We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
